I am a transactional intellectual property and corporate attorney. I work principally with technology companies in connection with licensing, financing, and trademarks. I have particular experience with contracts involving computer games and open source issues.
BACKGROUND
- I earned my law degree (Juris Doctor) from John Marshall Law School (Chicago), where I published a law review comment (New Media Techniques, 14 J.Mar.L.Rev. 733). I also earned graduate (post Juris Doctor) law degrees in international law (McGeorge School of Law, European program), and in copyright, trademark and antitrust law (LL.M., New York University). My work background includes:
- 3 years as an associate in the Wall Street law firm of Lord, Day & Lord (1984 1987);
- 5 years as General Counsel of a software company in New Jersey where I negotiated and drafted all of their contracts, including toolkit, enterprise, and other complex licenses to customers around the world, and milestone-based software development agreements, all of which required frequent interaction with the company's sales department and management; and
- Over 10 years in private law practice where I negotiated and drafted (1) many agreements involving computer games during a time when the technology and related legal issues were new, and (2) general corporate agreements, including shareholders' agreements, and employment and nondisclosure agreements.
ACHIEVEMENTS. My achievements include:
- publishing articles on copyright, trademark, and licensing issues, including in InterActivity Magazine;
- speaking at conferences on legal issues mostly for non-lawyer audiences, including at the annual Game Developers Conference and Miller Freeman's Digital Video Conference;
- forming and representing trade associations including STAR ("Shareware Trade Association and Resources"), IGDN ("International Game Developers' Network") and The ASN.1 Consortium;
- contributing to CSC Consulting's Leading Edge Forum paper "Open Source: Open for Business" http://assets1.csc.com/fr/downloads/4819_1.pdf; and
- starting a blog about legal issues at http://offtheclock.provideocoalition.com
